Terms of service

The agreement

These terms are between Vergo Technologies Inc., a Delaware corporation ("Mercovano", "we") and the company that creates an account ("you"). By creating an account, connecting a system or using an app, you agree to them on your company's behalf, and you confirm you have the authority to. A signed order form or agreement with us takes precedence where it differs.

The service

Mercovano lets you connect your accounting and other business systems, describe the apps you need, try prototypes of them on your own data, and use the apps we build and run for you. We may improve and change the service; we won't remove a core part of an app you pay for without telling you first.

Your account

Keep your sign-in details safe and tell us straight away, in writing to the address below, if you think your account has been misused. You're responsible for who you invite into your account and what they can do there. You must give accurate information when you sign up.

Your data

Your data, and the data in the systems you connect, stays yours. You give us permission to access, store and process it only to provide the service to you, as described in our privacy policy. We don't sell it or use it to train AI models. You can export it, and when you close your account we delete it as the privacy policy describes.

Connected systems

When you connect a system (for example QuickBooks Online), you authorise us to access it with the permissions you grant, and you confirm you're allowed to. Your use of that system stays under its own terms. Access is read-only unless you turn on writing for an app; an app never moves money. You can disconnect at any time, and we then stop accessing it.

Apps, AI and your review

We license you to use the apps we build for you, for your company's internal business, while your account is active. AI features make suggestions (for example how an invoice is coded); a person in your company confirms them, and you're responsible for decisions made with the apps, including what is posted to your accounting system. Prototypes and test versions are for trying things out and may change.

Acceptable use

Don't use Mercovano to break the law or anyone's rights, to access systems or data you're not allowed to, to probe or overload the service, to reverse-engineer it, or to resell it without our agreement.

Fees

Prototypes and the test version of an app are free. Paid plans are as agreed with you in writing (an order form, or the plan you choose in the app) before you're charged, including how and when you pay. Fees exclude taxes. We'll give you at least 30 days' notice of any price change.

Confidentiality

Each of us keeps the other's non-public information confidential and uses it only for this agreement.

Availability and warranties

We work to keep Mercovano available and secure, but the service is provided "as is", without warranties beyond those the law requires and any we agree in writing. Connected systems are run by their own vendors, and we're not responsible for their outages or changes.

Liability

Neither of us is liable for indirect or consequential losses, or for lost profits or data, to the extent the law allows. Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to a breach of confidentiality, your payment obligations, or liability that can't be limited by law.

Ending the agreement

You can close your account at any time. We may suspend or close an account that breaks these terms, after telling you where we reasonably can. After closing, you can ask for an export of your data for 30 days, after which we delete it.

General

These terms are governed by the laws of the State of Delaware, and disputes go to the state or federal courts located in Delaware. We may update these terms; we'll tell account owners by email at least 30 days before a material change takes effect.
